This website’s terms and conditions is an electronic record in the form of an electronic contract formed under Information Technology Act, 2000 and rules made thereunder and the amended provisions pertaining to electronic documents/records in various statutes as amended by the Information Technology Act, 2000. These terms and conditions do not require any physical electronic or digital signature.

These terms and conditions are a legally binding document between user and File For India (herein after referred to as “FFI”). These terms and conditions will be effective upon your acceptance of the same (directly or indirectly in electronic form or by means of an electronic record) and will govern the relationship between user and FFI of the website/application.

These Terms and Conditions (“T&C” or “Agreement”) governs the use of www.fileforindia.com (the “Platform”) by all visitors to the Platform. As such, these T&C constitute a binding agreement between you, as a user of the Platform (“you” or “user”), and FFI and/or its affiliated entities (collectively referred to as “FFI” “us,” “we,” or “our”) (“FFI”, the "Platform").  By using the Platform, you agree at all times during your use to abide by these T&C and any additions or amendments in future. Therefore, we want you to please read these T&C carefully prior to navigating and purchasing services on the Platform.

Your use of the Platform is also subject to our Privacy Policy. Therefore, please also review the Privacy Policy carefully prior to navigating and using the Platform. In the event that there is any conflict between the provisions within these T&C and the provisions within the Privacy Policy, finally the provisions of the Privacy Policy will apply.

Services

The Platform is an electronic marketplace that provides user to purchase services inter alia Intellectual Property Rights, Auditing, ITRs, GST, Company Registrations etc. as listed on Platform.

Eligibility to Use

The services are not available to persons under the age of eighteen (18) or to any users suspended or removed from the FFI system by FFI for any reason whatsoever. If you are disqualified as per the aforesaid sentence, you shall not be permitted to avail of the services or use the Platform. You represent that you are of legal age to form a binding contract and are not a person barred from receiving the services under the laws as applicable in India. Notwithstanding the foregoing, if you are below the age of eighteen (18) years, please read through these T&C with your parent or legal guardian, and in such a case these Terms of Use shall be deemed to be a contract between FFI and your legal guardian or parent and to the extent permissible under applicable laws, enforceable against you.

FFI reserves the right to refuse access to use the Services offered at the Platform to new users or to terminate access granted to existing Users at any time without any reasons for doing so.

You shall not have more than one active Account (defined hereunder) on the Platform.

User Account, Password and Security

You may access and use the Platform and the services either as a registered user or as a guest user. However, not all sections of the Platform and services will be accessible to guest users.

Registered users: FFI makes certain sections of the services available to you through the Platform only if you have provided FFI certain required user information and created an account and a FFI ID through certain log-in ID and password ("Account"). You can create your Account on the Platform by logging in through your third party website user ID and password/and or through Mobile OTP including that of www.facebook.com, websites owned by Yahoo Inc. or its subsidiaries, Apple Inc., Google Inc. or its subsidiaries, twitter or any other social media website or any other Internet service as permitted on the Platform (FFI ID and/or other third party login identification as provided above are individually and collectively referred to the “Account Information”).

In the event you register as a user by creating an Account in order to avail of the services provided by the Platform, you will be responsible for maintaining the confidentiality and security of the Account Information, and are fully responsible for all activities that occur under your Account. You agree to (a) immediately notify FFI of any unauthorized use of your Account Information or any other breach of security, and (b) ensure that you exit from your Account at the end of each session. FFI cannot and will not be liable for any loss or damage arising from your failure to comply with this provision. You may be held liable for losses incurred by FFI or any other user of or visitor to the Platform due to authorized or unauthorized use of your Account as a result of your failure in keeping your Account Information secure and confidential.

You shall ensure that the Account Information provided by you in the Platform’s registration form is complete, accurate and up-to-date. Use of another user’s Account Information for availing the services is expressly prohibited.

If you provide any information that is untrue, inaccurate, incorrect or incomplete (or becomes untrue, inaccurate, incorrect or incomplete), or FFI has reasonable grounds to suspect that such information is untrue, inaccurate, incorrect or incomplete, FFI has the right to suspend or terminate your Account and refuse any and all current or future use of the Platform (or any portion thereof).

Guest users: The Platform also allows limited access to the Services for unregistered users (also called as “guest users”). Such users will be able to browse the Platform and use the services for the purpose of purchasing services, and placing orders. However, you will not be provided with access to certain benefits reserved only for the purpose of registered users. These benefits may change from time to time. The said benefits include regular updates on the current status of your pending application.

Depending upon whether you are a user who otherwise wish to use the Platform, and the nature of services you wish to avail from the Platform, you may be required to provide certain personal information and FFI. Your provision of, and FFI’s collection, storage, use, disclosure and otherwise dealing of such personal information shall be governed by FFI’s privacy policy, which is available at https://www.fileforindia/privacy-policy (“Privacy Policy”).

Payment services

The payments of any services availed through FFI may be made through Razorpay, Googlepay, Visa, Mastercard and/or any other appropriate payment gateway.

Processing and Disclosure of Information

We want to ensure all users of the Platform that the information collected is processed and disclosed in line with these T&C and the Privacy Policy. In addition to considering the provisions of these agreements, we should review the given terms, which apply to the processing and disclosure of information collected on this Platform.

The information sought and provided to the Platform will be saved to our database. While processing your information, it may be shared with third party service providers for the reason mentioned within these T&C.

Situations in which FFI may disclose your information to Third Parties:

1. when we have received your consent to do so; in situations where sharing or disclosing your information is required in order to offer you services requested by you;
2. when companies or service providers that perform business activities on behalf of FFIrequire such information (e.g., customer support services, payment processing services, or database management services);
3. to comply with legal or regulatory requirements or obligations in accordance with applicable law or court order;
4. to protect against potential fraud, we may verify with third parties the information collected from the Platform.

If information is shared as mentioned above, we seek to limit the scope of information that is furnished to the amount necessary for the performance of the specific function. Implied Permission

Please note that, while FFI may seek your consent regarding certain uses of your information, it may not do so in all instances.  For example, in some cases your permission will be implied from the nature of the service requested or transaction undertaken. For instance, FFI may disclose your information to mail carriers or debit/credit card processors in order to provide a product or fulfil a service to you. In instances like this, because the use of your information is necessary to complete the service, your permission for these uses is implied.

Your Choices Regarding Communications

As a user of the Platform, you may receive communications, via email and phone, related to the information and services provided through the Platform.  You will have the ability to unsubscribe from certain communications from FFI.  For example, some email messages may be more commercial in nature, such as alerts or personalized updates, offer announcements or Platform updates.  For these types of communications, we will provide you the opportunity to exercise an opt-out or unsubscribe choice if you do not want to receive these types of communication from us.  However, doing so may cause you to be uninformed about information provided on the Platform.  We will process your unsubscribe as soon as possible, but please be aware that in some circumstances you may receive a few more messages until the unsubscribe is processed completely.

Users may not be able to opt-out or unsubscribe from other types of communications.  For example, we may use your email address to confirm your request, to send you alerts notifications regarding your transaction and to send notices and other disclosures as required by law. Generally, users cannot opt-out of these communications, but they will be primarily informational in nature rather than promotional.

Use of and Comments to Material

If you disagree with any material you find on the Platform, we recommend that you write about your disagreement through email. We also invite you to bring to our attention to any material you believe to be factually inaccurate by contacting us through mail or contact us option.

Pricing of Services

Prices for services offered through FFI are subject to change as per necessity and costing at the source and is solely our discretion. Such pricing policy applies to all services, including services that you may have purchased previously through FFI maybe very recently.

Intellectual Property Rights

The Platform and the processes, and their selection and arrangement, including but not limited to all text, graphics, user interfaces, visual interfaces, sounds and music (if any), artwork and computer code (collectively, the “Content”) on the Platform is owned and controlled by FFI or its licensors/subsidiaries and the design, structure, selection, coordination, expression, look and feel and arrangement of such Content is protected by copyright, patent and trademark laws, and various other Intellectual Property Rights. Through your use of the Platform, by no means are any rights impliedly or expressly granted to you in respect of such Content. FFI reserves the right to change or modify the content from time to time at its sole discretion.

The trademarks, logos and service marks displayed on the Platform (“Marks”) are the property of FFI or respective third parties. You are not permitted to use the Marks without the prior consent of FFI.

Unless otherwise indicated or anything contained to the contrary or any proprietary material, FFI owns all Intellectual Property Rights to and into the trademark “File For India”/ “FFI”, and the website, including, without limitation, any and all rights, title and interest in and to copyright, related rights, patents, utility models, designs, know-how, trade secrets and inventions, goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks.

Except as expressly provided herein, you acknowledge and agree that you shall not copy, republish, post, display, translate, transmit, reproduce or distribute any content through any medium without obtaining the necessary authorization from FFI.

Community and Social Media Platforms, Chat Rooms, Forums, and Blogs

FFI wants to encourage an open exchange of information and ideas through the Platform, but we cannot and do not review every posting made on FFI’s community and social media Platforms, or in chat rooms, forums, blogs, and other public posting areas. You can expect these areas to include content, information, and opinions from a variety of individuals and organizations other than FFI. We do not endorse or guarantee the accuracy of any posting, regardless of whether the posting comes from a user, from a celebrity or "expert" guest, or from a member of our staff. There is no substitute for healthy skepticism and your own good judgment.

Responsibility for what is posted on FFI’s community and social media Platforms, or in chat rooms, forums, blogs and other public posting areas on the Platform lies with each user, you alone are responsible for material you post. FFI does not control the messages, information or other content that you or others may provide through the Platform. You may use the Platform for lawful purposes only.

By using the Platform, you agree not to submit, post or transmit through the Platform any material or otherwise engage in any conduct that:

• Violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity, privacy or other proprietary rights;
• Allows you to gain unauthorized access to the Platform, or any account, computer system, or network connected to the Platform, by means such as hacking, password mining or other illicit means;
• Is unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of another's privacy, tortuous, or contains explicit or graphic descriptions or accounts of, sexual acts;
• Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
• Collects for marketing purposes any email addresses or other personal information that has been posted by other users of the Platform.
• Impersonates any person, business or entity, including FFI and its employees and agents or falsely states or otherwise misrepresents your affiliation with any person, business or entity, including FFI;
• Contains an advertisement or solicitation or encourages others to make a donation;
• Contains viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permits the unauthorized use of a computer or computer network;
• Encourages conduct that would constitute a criminal offense or that gives rise to civil liability or that otherwise encourages others to commit illegal activities or cause injury or property damage to any other person;
• Results in the posting or transmission of any message anonymously or under a false name;
• Permits any person to access, using your account, any features of the Platform that may require registration;
• Results in a single message being posted to more than five areas of the Platform or affiliated web Platforms, results in any message being posted to any area of the Platform if that message is, in our view, off-topic or in violation of these T&C; or
• Violates these T&C, guidelines or any policy posted on the Platform, or interferes with the use of the Platform by others.

Although FFI cannot monitor all content on FFI’s community and social media Platforms, or postings in the chat rooms, forums, blogs and other public posting areas, you understand that FFI shall have the right, but not the obligation, to monitor the content of the Platform to determine compliance with these T&C and any other operating rules that may be established by FFI from time to time. FFI shall have the right, in its sole discretion, to edit, move, delete, or refuse to post any material, including but not limited to submissions, submitted to or posted on the Platform for any reason, including violation of these T&C, whether for legal or other reasons, or because the material is objectionable or stale. Notwithstanding this right of ours, users shall remain solely responsible for the content of their messages and submissions. You acknowledge and agree that neither FFI nor any of its affiliates shall assume or have any liability for any action or inaction by FFI with respect to any conduct within the Platform or any communication or posting on the Platform. FFI also reserves the right to disclose any information that FFI believes necessary to satisfy any law, regulation or governmental request, or to refuse to post or to remove any information or materials, in whole or in part.

FFI requires you not to use the Platform to violate anyone's copyright, trademark or other Intellectual Property Rights. By posting or submitting any material (including, without limitation, photographs and videos) to the Platform, you are warranting and representing that you own or have the right to post or make such submission of the material, or are making your submission or posting with the express consent of the owner, and that no other party has any right, claim, or interest in the material that you have submitted or posted. You also warrant that all moral rights in any material that you submit to us or post have been waived. Submitting or posting material that is the property of another, without the consent of its owner, is not only a violation of these T&C, but may also subject you to legal liability for infringement of copyright, trademark or other Intellectual Property Rights.

Our Use of Materials

With the exception of any and all submissions (FFI’s permitted use of which is discussed above) and any material posted on FFI’s community and social media Platforms, all other material you submit to any of our chat rooms, forums, blogs and other public posting areas, whether text or images, becomes the property of FFI and may be reproduced, modified and distributed as we see fit, in any medium, for any purpose and in perpetuity. Further, you understand that by posting material on FFI’s community and social media Platforms, you are granting to FFI, and to anyone authorized by FFI, a royalty-fee, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to display, use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform such materials posted on FFI’s community and social media Platforms, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. Also, in connection with the exercise of such rights, you grant FFI, and anyone authorized by FFI, the right to identify you as the author of any of your postings or submissions by name, email address or screen name, as FFI deems appropriate.

The materials available through the Platform are the property of FFI or its licensors, and are protected by copyright, trademark and other intellectual property laws. You are free to display and print for your personal, non-commercial use information you receive through the Platform. But you may not otherwise reproduce any of the materials without the prior written consent of the owner. You may not distribute copies of materials found on the Platform in any form (including by e-mail or other electronic means), without prior written permission from the owner. Of course, you're free to encourage others to access the information themselves on the Platform, and to tell them how to find it.

Linking

We welcome links to the Platform. You are usually free to establish a hypertext link to any publicly available portion of the Platform so long as the link does not state or imply any sponsorship or endorsement of your website by our Platform or by FFI. However, you should check the copyright notice on the page to which you wish to link to make sure that one of our content providers does not have its own policies regarding direct links to their content on the Platform.

No Soliciting or Spamming

You agree not to use the Platform to advertise, or to solicit anyone to buy or sell services, nor to solicit anyone to make donations of any kind, without our express written approval.

From time to time, users post their e-mail addresses in our chat rooms, forums, blogs and other public posting areas. You may not gather these e-mail addresses for commercial or illegal purposes, such as sending unsolicited or unrequested e-mail or instant messages.

No Framing

Without the prior written permission of FFI, you may not frame, or make it appear that a third-party Platform is presenting or endorsing, any of the content of the Platform, or incorporate any Intellectual Property of the Platform, FFI into another website or other service.

Disclaimer of Warranties

THIS PLATFORM IS MADE AVAILABLE “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES WHATSOEVER ABOUT THE NATURE, CONTENT OR ACCURACY (EITHER WHEN POSTED OR AS A RESULT OF THE PASSAGE OF TIME) OF ANY MATERIAL AT THE PLATFORM AND WITHOUT ANY REPRESENTATIONS OR GUARANTEES. IN ADDITION, FFI MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES THAT THIS PLATFORM AND ITS CONTENT WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR USE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

We have no liability whatsoever for the results of submissions of information or requests to this Platform or by means of this Platform. UNDER NO CIRCUMSTANCES SHALL FFI, ITS OFFICERS, PARTNERS, EMPLOYEES OR AGENTS (“REPRESENTATIVES”) BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS PLATFORM OR OUR SERVICES, EVEN IF FFI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SINCE SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Access and Interference

Much of the information on the Platform is updated on a real time basis. By using the Platform, you agree not to:

• Use any robot, spider, scraper or other automatic device, process or means to access the Platform for any purpose without our express written permission.
• Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure.
• Implement any manual processes to monitor or copy content from the Platform without express written permission.
• Utilize any device, software or routine that will interfere or attempt to interfere with the functionality of the Platform.

Remedies

Your access and use privileges of this Platform and its content are conditioned upon your adherence to these T&C. FFI has the right to deny you access and use of this Platform and its content if you violate (as FFI may determine in its sole and absolute discretion) any provision of these T&C. FFI reserves the right to seek all other remedies available at law and in equity. You agree, at your own expense, to defend, indemnify and hold FFI and its Representatives harmless from any claim or demand, including reasonable attorneys' fees, made by a third party in connection with or arising out of your access to, or use of, this Platform or any of its content in a manner other than as expressly authorized by these T&C, your breach of these T&C or your violation of applicable laws or any third party rights.

Links to Other Web Platforms

FFI is not responsible or liable for any content presented by or contained on any independent web Platform, including, but not limited to, any advertising claims or marketing practices. Please note that we cannot control and will not be responsible for the privacy policies of third party web Platforms. Third party web Platforms that are accessed through links on our web Platforms have separate privacy and data collection practices, and security measures. We have no responsibility or liability for the practices, policies and security measures implemented by third parties on their web Platforms. We recommend that you review the privacy statements and policies of linked web Platforms to understand how those web Platforms collect, use and store information.

Updates to the Terms and Conditions

FFI reserves the right to amend these T&C at any time in order to meet changes in the regulatory environment, business needs, or to satisfy the needs of our customers, distributor partners, and service providers.

Choice of Law

All issues and questions concerning the construction, validity, interpretation and enforceability of these T&C, or the rights and obligations of the you or FFI  in connection with the Platform, shall be governed by, and construed in accordance with, the substantive laws of India.

Arbitration

By using the Platform, you agree that exclusive jurisdiction for any dispute, claim, or demand related in any way to the Platform or FFI will be decided by binding arbitration. All disputes between you and FFI of any kind or nature arising out of these T&C or your use of the Platform, shall be submitted to the related agency for binding arbitration. The parties agree to share equally in the arbitration costs incurred. However, before invoking arbitration the parties to dispute must make an attempt to mediate the disputes and in the event dispute is not settled within a period of fifteen (15) days, the arbitration clause may be invoked.

Entire Agreement

These T&C contain the entire agreement between you and us regarding the use of the Platform and its content and supersede any and all other agreements between us with respect to matters in these T&C.

Other

No waiver of any provisions in these T&C shall be deemed a further or continuing waiver of such provision or any other provision.

Additionally, if any provision of these T&C is found to be void, unlawful or unenforceable for any reason, that portion shall be deemed severable from these terms and shall not otherwise affect the validity and enforceability of any remaining provisions.

FFI enters into this Agreement on its own behalf. FFI reserves the right to pursue any remedy available to it at law or in equity if you breach this Agreement.
